Prism Advise Yellowspring on Sale to Amsiso

Prism Corporate Broking, the specialists in technology mergers and acquisitions (M&A), have advised Yellowspring, an Essex-based IT services and infrastructure support company, on its sale to Amsiso, an emergent London-based cloud services company established by Ferdinand de Lisser, a former Director of BIS Limited and Richard Keyms, a former Sales Manager at Six Degrees Technology Group (BIS was sold to Six Degrees in 2013).

Prism’s relationship with Yellowspring spans a number of years, starting with a Prism Options Review, a much valued strategic review process that assesses and advises on M&A options, exit readiness and actions to enhance value. The relationship continued, ultimately leading to the recent sale process once both parties felt the time was right to go to market.

“When we first engaged with Yellowspring there were a number of factors that would have inhibited maximum value being achieved” says Robert Fiske, Director of Corporate Finance at Prism. “However, the Directors progressively addressed these prior to going to market and must be commended in building a very successful and ultimately desirable business.”

The Prism team were involved in all aspects of the sale process including researching potential targets and negotiating the commercial terms of the deal. Being focussed on this sector, Prism already had prior contact with Amsiso, who ultimately emerged as the front-runner from a number of contenders.

Michael Bradbrook, Chairman of Yellowspring commented “I commend Prism’s business model and the very professional way they approach transactions which became very evident from the outset with the preparation of an excellent and comprehensive Information Memorandum”.

“Amsiso and Yellowspring are a logical strategic fit”, explains Richard Keyms, Director at Amsiso. “Our core audience is the same and our combined product and service offering will allow both parties to deliver a more comprehensive service offering.”

“The management team at Yellowspring has done a fantastic job of building a successful business that provides a superior service to its customers”, says Ferdinand de Lisser, Director at Amsiso. “We both share a customer-centric approach and with the current team in place, both businesses are well positioned for continued growth.”

Together, Amsiso and Yellowspring will be well placed to deliver best-in-class solutions to SME markets across London and the South East.

Matthew Poli of Palmers Solicitors led the vendor’s legal team and Jonathan Dawe of Grant Dawe acted for the acquirers.

The terms of the deal remain undisclosed.
