Prism Advise Yellowspring on Sale to Amsiso

Prism Corporate Broking, the specialists in technology mergers and acquisitions (M&A), have advised Yellowspring, an Essex-based IT services and infrastructure support company, on its sale to Amsiso, an emergent London-based cloud services company established by Ferdinand de Lisser, a former Director of BIS Limited and Richard Keyms, a former Sales Manager at Six Degrees Technology Group (BIS was sold to Six Degrees in 2013).

Prism’s relationship with Yellowspring spans a number of years, starting with a Prism Options Review, a much valued strategic review process that assesses and advises on M&A options, exit readiness and actions to enhance value. The relationship continued, ultimately leading to the recent sale process once both parties felt the time was right to go to market.

“When we first engaged with Yellowspring there were a number of factors that would have inhibited maximum value being achieved” says Robert Fiske, Director of Corporate Finance at Prism. “However, the Directors progressively addressed these prior to going to market and must be commended in building a very successful and ultimately desirable business.”

The Prism team were involved in all aspects of the sale process including researching potential targets and negotiating the commercial terms of the deal. Being focussed on this sector, Prism already had prior contact with Amsiso, who ultimately emerged as the front-runner from a number of contenders.

The terms of the deal remain undisclosed.
