The Marcomms sector has traditionally comprised three key groups – Advertising Agencies, Public Relations Agencies and Sales Promotion. More recently Digital Marketing has become key in most sectors and the traditional boundaries between activities are being eroded. We also include ancillary services such as Market Research.
Without doubt the growth expectation in Digital Marketing outstrips all others and this has seen a flurry of acquisition activity – such as the acquisition of Tonic by College Hill.
The industry is characterised by some larger players (eg. Omnicom, WPP etc) as well as a host of smaller agencies. Prism have acted for a number of SMEs in the sector and have experience finding suitable merger targets, and at negotiating the right deal.
In general this sector comprises ’people businesses’ and it is very unusual for smaller deals not to involve substantial earn-outs. This is a complex and important area and suitable deal experience is essential to ensure that the final consideration is actually realised.
